Terms of Service

Introduction

Welcome to Guessperts, an online sports entertainment and media companion service. Guessperts organizes information about sports picks and predictions publicly expressed by hosts, co-hosts, contributors, and other sports media personalities so fans can revisit sports shows, podcasts, and other content with the benefit of knowing how the games ultimately turned out.

Please read these Terms of Service and our Privacy Policy carefully. By accessing or using our Service, you agree to these Terms of Service.

Definitions

Throughout this Agreement, we may use certain words or phrases, and it is important that you understand the meaning of them:

  • “Agreement” means these Terms of Service;
  • “Guessperts,” “we,” “us,” or “our” refers to Exsom Group, LLC, our Site, our Service, or a combination of the foregoing, depending on the context;
  • “Pick” means a sports pick, prediction, selection, opinion, or similar statement that we have interpreted and recorded from a publicly available source for purposes of the Service. A Pick displayed by the Service is our record or interpretation of the source material and is not an official betting card, wager, or record of any host, show, network, sportsbook, or other third party;
  • “Service” refers to the services that we provide through our Site, including profiles, our interpretation of Picks, records, statistics, source information, related information and features, and the Site itself;
  • “Site” refers to our website, guessperts.com;
  • “User” refers to anyone who accesses or uses our Service, including visitors to our Site;
  • “You” refers to you, the person accessing or using our Service.

What Guessperts Offers

Guessperts is an independent sports entertainment and media companion service. The Site is intended to make revisiting sports shows, podcasts, and similar content more interesting by organizing certain predictions made before sporting events and allowing Users to view those predictions in light of what ultimately occurred.

The Service is provided for informational and entertainment purposes only. It is not intended to encourage gambling, facilitate wagering, provide gambling or financial advice, identify profitable wagers, or serve as a substitute for information supplied by a sportsbook or other authoritative source.

Unless expressly stated otherwise, Guessperts and Exsom Group, LLC are not affiliated with, sponsored by, endorsed by, approved by, or otherwise connected with any host, co-host, contributor, show, podcast, network, broadcaster, sportsbook, sports league, team, conference, media company, or other third party referenced through the Service.

Eligibility

By using our Service, you represent that you are legally permitted to use the Service and to enter into this Agreement. If you are not old enough to enter into this Agreement in your jurisdiction, you may use the Service only with the involvement and consent of a parent or legal guardian.

You may not use our Service if doing so would violate any applicable law, regulation, embargo, export control, or other legal restriction applicable to you or to us.

Picks, Sources, and Editorial Interpretation

Guessperts attempts to identify and organize Picks from publicly available shows, podcasts, broadcasts, websites, social media, and other sources. We attempt to provide a source citation for each Pick so Users can review the source material or other information on which our entry is based. A CITATION IDENTIFIES THE BASIS FOR OUR INTERPRETATION; IT DOES NOT ESTABLISH THAT A PERSON PLACED A WAGER, SUBMITTED AN OFFICIAL BETTING CARD, MAINTAINED THE SAME OPINION AT ANOTHER TIME, OR INTENDED THE STATEMENT TO BE TREATED AS AN OFFICIAL PICK.

Determining whether a statement constitutes a Pick can require editorial judgment. Statements may be ambiguous, conditional, joking, incomplete, changed later, or expressed differently in another appearance or source. We may misunderstand a statement, attribute it incorrectly, miss a Pick entirely, or be unaware that a person later changed or clarified a Pick. Accordingly, the Picks displayed on the Service should be understood as our good-faith collection and interpretation of the source material we reviewed, processed using our own criteria and rules, and not as an official or complete record of any person’s selections, wagers, predictions, or opinions.

The Service does not attempt to record every type of sports prediction. We generally focus on Picks that can be evaluated using the final result or final score of an event and that can be represented by the systems used by the Site. We may omit, among other things, player props, first-half or other partial-game markets, complex propositions, or Picks that cannot reasonably be represented by the Service. Conversely, a selection discussed as part of a teaser, parlay, or other combined wager may be displayed separately when we can reasonably identify and evaluate the underlying selection.

THE WAY A PICK IS DISPLAYED ON GUESSPERTS THEREFORE MAY NOT REFLECT THE FORM IN WHICH IT WAS ORIGINALLY DISCUSSED, AND OUR PROCESSING OF A PICK MAY RESULT IN MATERIAL DIFFERENCES BETWEEN THE PICK AS DISPLAYED AND THE PREDICTION, WAGER, OR OPINION ORIGINALLY EXPRESSED BY ITS CREATOR.

WE MAY ADD, OMIT, REVISE, RECLASSIFY, CORRECT, OR REMOVE PICKS OR OTHER INFORMATION AT ANY TIME AND ARE NOT OBLIGATED TO MAINTAIN A COMPLETE HISTORICAL RECORD.

Records, Statistics, and Accuracy

Win-loss records, percentages, rankings, summaries, and other statistics displayed through the Service are calculated solely from the Picks and other data that Guessperts has collected, interpreted, entered, and chosen to support. They are not official records of any host, co-host, contributor, show, network, sportsbook, or other third party.

Although we try to make the information useful and accurate, our data may be inaccurate, incomplete, delayed, duplicated, misclassified, or outdated. A record or statistic may differ from another source because we missed a Pick, interpreted a Pick differently, do not support the type of Pick involved, used different source information, or because the person later changed or clarified the Pick elsewhere.

You should not treat any record, statistic, Pick, profile, or other information displayed on the Service as an authoritative statement about a person or their official betting or prediction history. Users seeking an individual’s official selections, betting card, current views, or other authoritative information should consult that individual, show, network, or their official channels directly.

Odds, Lines, and Sportsbook Information

Any odds, point spreads, totals, moneylines, or other betting-related information displayed through the Service is provided solely as contextual information for the sports commentary or Pick being documented and for entertainment purposes.

Betting markets vary among sportsbooks and change over time. The line or odds displayed by Guessperts may differ materially from the line available when source material was recorded, when it was published, when a game began, or at any particular sportsbook. Different shows, networks, hosts, and sources may also reference different sportsbooks or market information, and a speaker or source may state a line inaccurately.

We do not represent that any displayed odds or lines were actually available to the person associated with a Pick, that the person placed a wager at those odds or lines, or that the information represents an official betting record. Odds and lines displayed on the Site are not offered for wagering and should not be relied upon for placing a wager.

No Gambling or Financial Advice

Guessperts is not a sportsbook, gambling operator, bookmaker, betting exchange, tipster service, or gambling advisory service. We do not accept or facilitate wagers, hold wagering funds, establish betting markets, or guarantee or represent that any Pick will be successful or profitable.

Nothing on the Site constitutes gambling, financial, investment, legal, or other professional advice. If you choose to gamble, you do so independently of Guessperts and at your own risk. You are solely responsible for complying with the laws applicable to you and for any decisions, losses, expenses, or other consequences arising from gambling or reliance on sports-related information.

Requests Concerning Picks and Profiles

We welcome good-faith notices concerning information that may have been incorrectly attributed, recorded, or described. Hosts, co-hosts, contributors, or other individuals featured on the Site may also contact us to request updates to profile information or removal of their Picks from the Service.

We may review and respond to such requests in our discretion, subject to applicable law. Nothing in this section is an admission that information displayed through the Service is unlawful, inaccurate, or required to be removed, and this section does not create any contractual right to correction, removal, response, or action within a particular period of time.

Rules of Use

You must not:

  • Use the Service in violation of any applicable law or regulation.
  • Use our Service to attack, disrupt, overload, damage, or interfere with any website, network, system, or service.
  • Circumvent or attempt to circumvent any access restrictions, rate limits, security measures, or other technical measures associated with our Site or Service.
  • Infringe anyone’s intellectual property rights, impersonate another person or entity, or otherwise violate the rights of any third party.
  • Hack, crack, phish, inject malicious code, introduce malware, probe for vulnerabilities, or otherwise compromise or attempt to compromise the security or integrity of the Site or Service.
  • Use automated means to access, scrape, crawl, harvest, download, or systematically collect information from the Service except with our prior written permission or as expressly permitted by us.
  • Use the Service in a manner that places an unreasonable or disproportionately large load on our infrastructure or third-party systems used to provide the Service.
  • Use the Service to develop, train, improve, or operate a competing database, service, or product using content or data obtained from the Service, except to the extent such restriction is prohibited by applicable law.
  • Attempt to reverse engineer or otherwise derive source code from software forming part of the Service, except to the extent such restriction is prohibited by applicable law.
  • Use the Service in any manner intended to interfere with its operation or another person’s use of the Service.

We may take reasonable technical or other measures to enforce these restrictions.

Our Intellectual Property

The Site and Service, including their original software, design, graphics, text, selection, arrangement, presentation, compilation, organization, and other content created by us, are owned by or licensed to Exsom Group, LLC and are protected by applicable intellectual property laws.

Nothing in this Agreement gives you ownership of our intellectual property. Subject to this Agreement, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your personal, non-commercial use.

Names, statements, sports results, factual information, show names, team names, league names, network names, sportsbook names, trademarks, source materials, and other information or materials belonging to third parties remain subject to any rights held by their respective owners. Nothing in this Agreement is intended to claim ownership over facts or third-party intellectual property.

Feedback and Submissions

If you voluntarily provide us with suggestions, corrections, ideas, feedback, source information, or other submissions relating to the Service, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to use, reproduce, modify, distribute, display, and otherwise use that feedback or submission for purposes related to operating, developing, improving, or promoting the Service.

You represent that you have the right to provide any material you submit to us and that our permitted use of it will not violate the rights of another person or entity.

Trademarks and Third-Party References

“Guessperts,” “Exsom,” and associated logos, branding, and trade dress are trademarks or other identifying marks of Exsom Group, LLC to the extent protected by applicable law.

The names, logos, trademarks, identities, and other identifying material of hosts, co-hosts, contributors, shows, podcasts, networks, sportsbooks, leagues, teams, broadcasters, media companies, and other third parties referenced through the Service belong to their respective owners where applicable. Their appearance on Guessperts is for identification, commentary, source attribution, and informational purposes and does not imply sponsorship, affiliation, endorsement, approval, or participation in the Service.

The Service may display information obtained from third parties or contain citations or links to third-party websites, social media services, podcasts, shows, networks, sportsbooks, broadcasters, or other services. We do not control those third parties and are not responsible for their content, availability, accuracy, security, privacy practices, pricing, advertisements, or other practices.

A citation or link is provided to identify or allow Users to review relevant source material or other information. It does not constitute our endorsement of the third party, nor does it transform our interpretation of source material into an official record of that third party or person.

Your use of a third-party website or service is governed by that third party’s own terms and policies.

Mobile and Internet Charges

You are responsible for any internet, mobile data, device, subscription, streaming, media, or other charges associated with your use of the Service or your access to third-party content or services.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

WE DISCLAIM, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE FROM VIRUSES, MALICIOUS CODE, OR OTHER HARMFUL COMPONENTS, OR THAT ANY PICK, ATTRIBUTION, CITATION, PROFILE, ODDS, LINE, RECORD, STATISTIC, CALCULATION, SOURCE INFORMATION, OR OTHER CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, AVAILABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

WE DO NOT WARRANT OR REPRESENT THAT ANY PICK DISPLAYED THROUGH THE SERVICE WAS ACTUALLY WAGERED, WAS AVAILABLE AT THE DISPLAYED ODDS OR LINE, CONSTITUTED AN OFFICIAL PICK OR BETTING CARD, OR REPRESENTS THE COMPLETE OR CURRENT VIEWS, PICKS, WAGERS, OR RECORD OF ANY PERSON OR THIRD PARTY.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXSOM GROUP, LLC AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR SERVICE.

WITHOUT LIMITING THE FOREGOING, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR DAMAGES ARISING FROM RELIANCE ON INFORMATION PROVIDED THROUGH THE SERVICE; ANY INACCURATE, INCOMPLETE, MISUNDERSTOOD, MISATTRIBUTED, OMITTED, DUPLICATED, DELAYED, OR OUTDATED PICK, PROFILE, CITATION, ODDS, LINE, RECORD, STATISTIC, CALCULATION, OR OTHER INFORMATION; ANY DECISION TO GAMBLE OR NOT TO GAMBLE; ANY WAGER OR GAMBLING LOSS; THIRD-PARTY CONTENT OR SERVICES; INTERRUPTION, MODIFICATION, SUSPENSION, OR TERMINATION OF THE SERVICE; OR UNAUTHORIZED ACCESS TO, USE OF, ALTERATION OF, LOSS OF, DISCLOSURE OF, OR DESTRUCTION OF DATA, SYSTEMS, NETWORKS, OR INFORMATION RESULTING FROM A SECURITY INCIDENT, CYBERATTACK, MALICIOUS ACT, OR FAILURE OR COMPROMISE OF OUR SYSTEMS OR THOSE OF A THIRD-PARTY SERVICE PROVIDER.

THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT WE WILL HAVE NO LIABILITY TO YOU ARISING OUT OF OR RELATING TO THE SERVICE OR THIS AGREEMENT EXCEPT TO THE EXTENT THAT SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED.

The exclusions and limitations of liability in this Agreement apply to the maximum extent permitted by applicable law. Nothing in this Agreement excludes or limits liability for: (a) death or personal injury caused by our negligence to the extent such liability cannot lawfully be excluded or limited; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited.

Indemnity

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Exsom Group, LLC and its owners, officers, directors, employees, agents, contractors, affiliates, licensors, and service providers from and against any third-party claims, demands, actions, proceedings, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) your access to, use, or misuse of the Service; (b) your violation of this Agreement or applicable law; or (c) your infringement or violation of the rights of any third party.

We reserve the right, at our expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to reasonably cooperate with us in the defense of that matter. You may not settle any such matter in a manner that imposes any liability, obligation, or admission on us without our prior written consent.

Choice of Law

This Agreement and any dispute arising from or relating to this Agreement or the Service will be governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, except to the extent applicable law requires otherwise.

Forum of Dispute

To the extent permitted by applicable law, any dispute arising from or relating to this Agreement or the Service that is not eligible to be brought in small claims court will be brought exclusively in the state or federal courts located in Travis County, Texas, and you and Exsom Group, LLC consent to the personal jurisdiction and venue of those courts.

Either party may bring an individual action in a small claims court of competent jurisdiction if the claim qualifies for that court.

Nothing in this section prevents either party from seeking injunctive or other equitable relief where appropriate to protect intellectual property rights, confidential information, or the security or integrity of the Service.

Force Majeure

We will not be responsible for a failure or delay in providing the Service resulting from circumstances beyond our reasonable control, including natural disasters, severe weather, war, terrorism, civil unrest, labor disputes, government actions, power or internet failures, failures of hosting or infrastructure providers, cyberattacks, communications disruptions, or failures of third-party data or service providers.

Severability

If any provision of this Agreement is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions of this Agreement will remain in full force and effect.

Non-Waiver

Guessperts reserves all rights afforded to us under this Agreement as well as under the provisions of any applicable law. Our non-enforcement of any particular provision or provisions of this Agreement or any applicable law should not be construed as our waiver of the right to enforce that same provision under the same or different circumstances at any time in the future.

Termination

We may suspend, restrict, or terminate your access to all or any part of the Site or Service at any time, with or without notice, including if we reasonably believe you have violated this Agreement, if necessary to protect the Site, Service, us, our Users, or third parties, or if we modify or discontinue the Service.

Under no circumstances, including termination or cancellation of our Service to you, will we be liable for any losses related to actions of other Users.

You may stop using the Service at any time.

Provisions of this Agreement that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and other accrued rights or obligations.

Assignment of Rights

You may not assign or transfer your rights or obligations under this Agreement without our prior written consent. We may assign or transfer our rights or obligations under this Agreement in connection with a merger, acquisition, reorganization, sale of assets, operation of law, or otherwise, subject to applicable law.

Changes to the Service

We may add, remove, modify, suspend, or discontinue features, sports, shows, hosts, contributors, Picks, data sources, statistics, integrations, or other portions of the Service at any time. We do not guarantee that any particular feature, person, show, sport, source, Pick, or other information will continue to be supported or displayed.

Amendments

We may amend this Agreement from time to time. When we make changes, we will post the revised Agreement on the Site and update the “Last Modified” date below.

If we make material changes, we may provide additional notice where required by applicable law. Your continued use of the Service after revised Terms become effective constitutes your acceptance of the revised Agreement to the extent permitted by law.

Entire Agreement

This Agreement, together with our Privacy Policy and any other terms expressly incorporated by reference, constitutes the entire agreement between you and Exsom Group, LLC regarding your use of the Service and supersedes prior agreements or understandings concerning the Service.

Section headings are provided for convenience only and do not affect the interpretation of this Agreement.

Pursuant to California Civil Code Section 1789.3, California users may direct complaints, questions, or inquiries regarding the Service to:
